CONSENT WITH ROC – 264(2)
No person can act as director unless he files his consent to act as director with ROC
Consent has to be filed within 30 days of his appointment

Exception
Director reappointed after retirerment by rotation or on expiry of his term
Additional director, alternate dir, dir filling casual vacancy who vacate office in the AGM and reappointed as regular dir by SH in AGM
A person named as dir in the articles as first registered

Section does not apply to private company

Appointment of minor as Director
Minor is not disqualified u/s 274
A person can be appointed as director only when he is alloted DIN
Minor is not eligible to obtain DIN
Therefore a minor can not become director of the company
This is applicable to both private and public company
